These Terms of Use apply to the investor pages located at fshrgear.com and the information and materials made available through those pages, collectively referred to as the “Site.”

The Site is operated by FSHR LLC, doing business as FSHR (“FSHR,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you access the Site on behalf of an organization, you represent that you have authority to act on its behalf.

1. Purpose of the Site

The Site provides general information about FSHR, including its vision, founding collection, business strategy, team, and development plans. It also allows visitors to request additional information and begin conversations with FSHR.

Information on the Site reflects the circumstances, plans, expectations, and assumptions applicable when it was prepared. The Site may include historical materials that remain available after circumstances have changed.

2. No Offer or Solicitation

The Site is provided for general informational purposes. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to purchase, any security.

Any offer or sale of securities will be made only through the applicable offering materials and definitive agreements provided by FSHR, only to eligible investors, and only in jurisdictions where the offer or sale is permitted by law.

Submitting an inquiry, requesting investor materials, or expressing interest does not:

• Reserve an investment allocation
• Create an advisory, fiduciary, or investor relationship
• Require FSHR to provide materials or accept an investment

FSHR may decline an inquiry, restrict access to investor materials, or reject a proposed investment in its discretion, subject to applicable law.

3. Investor Eligibility and Documentation

An investment opportunity may be subject to investor eligibility requirements, identity or accreditation verification, suitability considerations, legal documentation, and acceptance by FSHR.

The definitive agreements executed in connection with an investment will govern that investment. These Terms do not amend those agreements, replace required disclosures, or create rights inconsistent with them.

If these Terms conflict with a signed investment or confidentiality agreement, the signed agreement will govern the subject matter of that conflict.

4. Investment Decisions and Risk

Content on the Site does not provide individualized investment, legal, accounting, financial, or tax advice.

Before making an investment decision, you should review all applicable offering materials, risk disclosures, and definitive agreements and consult your own professional advisers.

Investments in early-stage companies are speculative, illiquid, and involve substantial risk. You may lose some or all of your investment. There may be no public market for the securities, and their transfer or resale may be restricted by law or contract.

Displaying or describing a product concept does not represent that the product is complete, available for purchase, or guaranteed to launch.

We seek to present useful information, but the Site may contain errors, omissions, or information that becomes outdated. Except as expressly stated in definitive written agreements, FSHR does not guarantee that Site content is complete, accurate, current, or suitable for a particular purpose.

We may modify, suspend, restrict, or discontinue any portion of the Site at any time. We do not guarantee uninterrupted access, compatibility with every device, or freedom from technical errors or harmful components.

8. Intellectual Property

The Site and its text, designs, photographs, videos, graphics, logos, trademarks, product concepts, renderings, interfaces, and other content are owned by FSHR or their respective rights holders and are protected by applicable intellectual-property laws.

You may view the Site and download materials expressly made available for that purpose solely to evaluate FSHR and a potential relationship with the company. You must preserve all copyright, trademark, confidentiality, and proprietary notices.

Except as permitted by law or a separate written agreement, you may not:

• Reproduce, modify, republish, or publicly distribute Site content
• Use Site content for commercial purposes
• Use FSHR names, trademarks, logos, or product designs without written permission

Accessing the Site does not transfer ownership or grant a general license to use FSHR’s intellectual property.

Certain investor materials may be made available only through an approved access process or subject to separate confidentiality terms.

You may not share access credentials, bypass access controls, or distribute restricted materials beyond the permissions granted by FSHR.

Where materials are identified as confidential or access is conditioned on confidentiality, you may use those materials only to evaluate a potential investment in or relationship with FSHR. You may disclose them only to your professional advisers who need the information for that purpose and who are subject to appropriate confidentiality obligations.

A separately signed confidentiality agreement will govern the information it covers. Nothing in these Terms prohibits disclosures required or protected by law, including lawful communications with government authorities.

10. Acceptable Use

You agree to use the Site lawfully and to provide accurate information when communicating with FSHR.

You may not:

• Impersonate another person or misrepresent your identity, affiliation, qualifications, or authority
• Attempt to access restricted information without authorization
• Probe, scan, or test the vulnerability of the Site without written permission
• Introduce malicious software or interfere with Site operation or security
• Circumvent technical restrictions or access controls
• Use the Site to violate intellectual-property, privacy, securities, or other legal rights
• Use the Site for fraudulent, misleading, or unlawful purposes

FSHR may restrict or terminate access where reasonably necessary to address misuse, protect security, enforce these Terms, or comply with law.

11. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information received through the Site and investor inquiries.

By submitting information through the Site, you acknowledge that it will be handled as described in the Privacy Policy.

12. External Links

The Site may contain links to websites or services operated by other organizations. Those services are governed by their own terms and privacy practices.

FSHR does not control and is not responsible for external services. A link does not, by itself, constitute an endorsement, representation, or guarantee by FSHR.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Site is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

FSHR disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement, to the extent those warranties may lawfully be disclaimed.

This section does not modify any representation or warranty expressly included in a definitive agreement signed by FSHR.

14. Limitation of Liability

To the fullest extent permitted by law, FSHR and its officers, members, employees, advisers, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to:

• Access to or use of the Site
• Inability to access or use the Site
• Reliance on Site content
• Technical errors, interruptions, or security incidents
• Conduct or content of an external website or service

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, violations of applicable securities laws, or any liability that cannot lawfully be excluded or limited. Nothing in these Terms waives rights or remedies that applicable law makes nonwaivable.

15. Changes to These Terms

We may update these Terms as the Site, our business, or applicable requirements change. Updated Terms will be posted with a revised effective date.

Material changes will apply prospectively. Where required by law, we will provide additional notice or obtain agreement.

Changes to these Terms will not amend an existing investment, confidentiality, or other signed agreement.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Washington, together with applicable federal law, without regard to conflict-of-law principles.

Subject to applicable law, any dispute arising from or relating to these Terms or the Site will be brought in the appropriate state or federal court located in King County, Washington. You and FSHR consent to the personal jurisdiction of those courts.

This section does not replace the governing-law or dispute-resolution provisions of a separate signed agreement.

17. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

FSHR’s failure to enforce a provision is not a waiver of its right to do so later.

You may not assign or transfer your rights under these Terms without FSHR’s written permission. FSHR may assign these Terms in connection with a financing, merger, acquisition, reorganization, sale of assets, or similar transaction.
